On October 31, 2011, a reorganization was completed of Centiva Capital by way of a Plan of Arrangement that was approved by Centiva shareholders on September 23, 2011 and subsequently by the Superior Court of Justice (Ontario) and other regulatory authorities. As a result of these approvals:
| 1. | Substantially all of Centiva's previous businesses were transferred to Aylen Capital Inc. and in due course the shares of Aylen will be distributed to Centiva's shareholders on a share-for-share basis. | |
| 2. | The The name of Centiva Capital was changed to Spackman Equities Group Inc. and Spackman Equities raised $3,086,000 in new equity by way of private placement financing. |
Shareholders of Centiva before the reorganization now own an equal number of shares of Aylen Capital and Spackman Equities. Information on the tax consequences of the Centiva reorganization to Canadian residents who were Centiva shareholders at the time will be provided in due course.
The Common Shares of Spackman Equities trade on the TSX Venture Exchange under the symbol SQG.
